The successful candidate will take on a leadership role in managing due diligence teams, overseeing specialists, and drafting key transaction documents. Duties

  • Lead due diligence processes for mergers, acquisitions, and other corporate transactions.
  • Manage and coordinate the work of specialists involved in various aspects of transactions.
  • Draft, review, and negotiate a wide range of transaction documents, including purchase agreements, disclosure schedules, and other related agreements.
  • Provide strategic legal advice to clients on corporate governance, venture capital, and other corporate matters.
  • Support clients through complex corporate transactions, ensuring compliance with relevant legal and regulatory requirements.
  • Work with cross-functional teams to address the legal needs of both private and public companies.
  • Manage multiple assignments simultaneously, ensuring timely and effective delivery of services.
  • Cultivate and maintain strong client relationships through proactive communication and responsiveness.

Requirements

  • 3-6 years of experience in corporate law, specifically with mergers & acquisitions, venture capital, and corporate governance.
  • Demonstrated experience in leading due diligence teams and managing transaction processes.
  • Proficiency in drafting and negotiating a wide array of corporate transaction documents.
  • Ability to manage multiple assignments with minimal supervision and work efficiently under tight deadlines.
  • Strong written communication skills, with a focus on clarity and precision in legal documentation.
  • Excellent academic credentials and a track record of professional success.
  • Ability to work both independently and collaboratively in a team-oriented environment.
  • Strong interpersonal skills and the ability to build lasting client relationships.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Admission to the state bar (Colorado or ability to waive in).
