Corporate Counsel

Job Overview:
A leading law firm is seeking an experienced Corporate Counsel to join its Charleston office. This role focuses on advising public and privately owned companies on a variety of corporate matters, including commercial contracts, mergers and acquisitions, and corporate governance. The position involves extensive client interaction and the opportunity to provide strategic legal counsel on complex corporate and commercial projects.

Location:

• Charleston, South Carolina

Duties:

• Review, draft, and negotiate principal and ancillary agreements related to commercial transactions
• Handle agreements for supply, purchase, service, transportation, and related commercial transactions
• Advise on mergers and acquisitions
• Provide corporate governance counsel
• Engage extensively with clients to offer pragmatic business counsel

Requirements:

• 7+ years of corporate transactional experience
• M&A experience (preferred but not required)
• Strong business acumen and ability to quickly understand business concepts
• Excellent written and verbal communication skills
• Proactive attitude with a willingness to learn and collaborate in a team-oriented environment

Education:

• Juris Doctor (JD) degree or equivalent

Certifications:

• Admission to the North Carolina State Bar (preferred)

Skills:

• Strong analytical and legal drafting skills
• Expertise in corporate and commercial transactions
• Effective communication and interpersonal abilities
