Job Overview: A prestigious law firm in Houston, TX, is looking for a Senior Associate or Junior Counsel to focus on executive compensation and employee benefits, particularly in the context of mergers and acquisitions. Duties:

• Draft and negotiate executive employment agreements.
• Develop and manage equity incentive plans, including profits interest plans.
• Provide counsel on compensation and benefits matters related to mergers and acquisitions.
• Advise clients on tax and regulatory issues related to executive compensation and employee benefits.
• Support corporate clients in maintaining compliance with employment and compensation laws.
• Work closely with other attorneys and professionals to provide comprehensive legal services to clients.

Requirements:

• Extensive experience with executive compensation and employee benefits law.
• Strong background in handling compensation issues in mergers and acquisitions.
• Familiarity with tax implications and compliance requirements related to compensation and benefits.
• Ability to manage complex legal matters with minimal supervision.
• Excellent negotiation and drafting skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Active Bar membership in good standing.

Certifications:

• Licensed to practice law in the state of Texas, or the ability to become licensed.
