Job Overview:

A law firm in Los Angeles, CA is seeking a skilled and experienced Mergers and Acquisitions Associate Attorney to join their team. The successful candidate will possess a J.D. degree, and strong academic credentials, and will either be admitted in California or be in the process of admission.

Duties and Responsibilities:

  • Provide expert legal advice and guidance on mergers and acquisitions transactions, including structuring, negotiation, and documentation.
  • Represent private equity and sponsor clients in acquisition, disposition, and growth equity/VC transactions.
  • Conduct thorough due diligence and prepare detailed reports and recommendations.
  • Draft, review, and negotiate complex transactional documents including purchase agreements, disclosure schedules, and ancillary agreements.
  • Coordinate and manage multiple legal matters simultaneously, ensuring timely and effective resolution of issues.
  • Collaborate with clients, internal teams, and external parties to facilitate smooth transaction processes.
  • Stay current with legal developments and industry trends related to mergers and acquisitions.

Requirements:

  • 4-6 years of experience in mergers and acquisitions, with a focus on private equity/sponsor clients.
  • Proven experience with representation and warranty insurance.
  • Demonstrated ability to manage multiple legal matters concurrently.
  • J.D. degree from an accredited law school with strong academic credentials.
  • Admitted to practice law in California or actively pursuing admission.
  • Excellent written and verbal communication skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admitted to the California State Bar or in the process of obtaining admission.

Skills:

  • In-depth knowledge of mergers and acquisitions law, including private equity and venture capital transactions.
  • Strong negotiation and drafting skills.
  • Ability to manage and prioritize multiple projects in a fast-paced environment.
  • Proficiency in conducting legal research and analysis.
  • Exceptional attention to detail and organizational skills.
  • Strong interpersonal skills with the ability to collaborate effectively with clients and team members.
