Job Overview:
A law firm is seeking a highly qualified second-year associate to join its Mergers & Acquisitions (M&A) practice in the Bay Area. The ideal candidate will have a strong background in acquisitions, divestitures, mergers, joint ventures, and private equity transactions. The role will involve leading due diligence efforts and drafting ancillary agreements, while gaining exposure to all aspects of M&A transactions.

Location:

  • Palo Alto, CA

Duties:

  • Lead due diligence efforts in various M&A transactions, including acquisitions, mergers, and divestitures.
  • Draft and review ancillary agreements such as stock purchase agreements, asset purchase agreements, and related legal documents.
  • Assist senior attorneys with structuring and negotiating complex transactions.
  • Work collaboratively with other attorneys and clients on a variety of matters across M&A and private equity.
  • Provide legal advice and support to clients throughout the transaction process.

Requirements:

  • Minimum of 2 years of experience in Mergers & Acquisitions.
  • Familiarity with all aspects of M&A transactions, including diligence, drafting, and negotiation of ancillary agreements.
  • Admission to the California Bar.
  • Excellent legal research, analytical, and writing skills.
  • Strong communication and interpersonal skills.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the California Bar.

Skills:

  • Strong understanding of M&A processes and related legal frameworks.
  • Experience leading diligence efforts and drafting key transactional documents.
  • Excellent problem-solving, organizational, and communication skills.
  • Ability to work effectively both independently and in a team-oriented environment.
