A law firm is seeking a Mid-Level Tax Transactional Associate Attorney for their Dallas, TX office. The ideal candidate will have 3-6 years of experience in tax aspects of corporate and partnership business transactions, including mergers and acquisitions, private equity investments, joint ventures, fund formation, and financing transactions. The role requires stellar academic credentials, excellent written and oral communication skills, and the ability to work both independently and collaboratively. Major law firm experience is preferred. The candidate must be licensed to practice law in the jurisdiction.

Key Responsibilities

  • Provide tax-related legal advice and analysis on a variety of transactional matters, including mergers and acquisitions, private equity investments, joint ventures, fund formation, and financing transactions.
  • Draft and review tax provisions, transaction documents, and agreements related to corporate and partnership business transactions.
  • Collaborate with clients, internal teams, and external advisors to structure transactions in a tax-efficient manner.
  • Conduct thorough tax due diligence and prepare tax-related analyses and opinions to support transaction execution.
  • Advise clients on tax implications of proposed transactions, including structuring options, compliance, and risk management.
  • Stay current with tax laws, regulations, and industry trends affecting corporate and partnership transactions.
  • Manage and oversee multiple projects simultaneously, ensuring timely and accurate completion.
  • Support senior attorneys in handling complex transactions and lead smaller projects independently.

Qualifications & Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in Texas or eligibility for admission to the Texas Bar.
  • 3-6 years of experience in tax transactional law, with a focus on corporate and partnership business transactions.
  • Experience working in a major law firm setting is preferred.
  • Stellar academic credentials and a strong track record in tax law.
  • Excellent written and oral communication skills, with the ability to effectively interact with clients and colleagues.
  • Ability to work both independently and as part of a team in a fast-paced environment.
