A law firm in Houston, TX is seeking a Transactional Attorney to provide legal counsel and representation in complex real estate and business transactions. The attorney will advise clients on deal structuring, syndications, fund creation, mergers and acquisitions, regulatory compliance, and contract negotiation. The role requires a strong understanding of Texas laws and regulations, particularly in real estate and corporate governance.

Job Duties:

  • Represent buyers, sellers, and lenders in real estate transactions, ensuring legal compliance and protecting client interests.
  • Structure and negotiate complex transactions, providing strategic advice to clients.
  • Handle syndications and fund creation, advising on alternative financing options.
  • Assist with corporate structuring, governance, and compliance matters.
  • Ensure compliance with regulatory and administrative requirements, including Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
  • Manage mergers and acquisitions, facilitating due diligence and transactional closings.
  • Facilitate entity formation and dissolution as needed.
  • Review, draft, and negotiate contracts, including purchase agreements, leases, and partnership agreements.
  • Provide counsel on real estate and business-related legal issues, leveraging knowledge of Texas-specific laws.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in Texas.
  • Minimum 3+ years of relevant experience in real estate and business transactions.
  • Proven expertise in deal structuring, syndications, fund creation, and mergers and acquisitions.
  • Strong knowledge of corporate structuring, governance, and regulatory compliance.
  • Familiarity with Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
  • Excellent contract review, drafting, and negotiation skills.
  • Exceptional interpersonal and communication skills, with the ability to advise clients effectively.
  • Experience with alternative financing options is preferred.
  • Deep understanding of Texas-specific real estate and business laws.
