Job Overview:

Duties and Responsibilities:

  • Handle private equity acquisition finance transactions, providing strategic counsel and ensuring compliance with relevant laws and regulations.
  • Manage oil- and gas-related transactions, offering expert guidance on industry-specific financial arrangements and legal requirements.
  • Represent borrowers and lenders in complex financing deals, ensuring clients' interests are protected and objectives are met.
  • Draft, review, and negotiate various financial documents, including loan agreements, security documents, and inter-creditor agreements.
  • Collaborate with other attorneys and legal professionals within the firm to provide comprehensive legal services to clients.
  • Maintain up-to-date knowledge of legal developments and industry trends related to debt and private equity acquisition finance.
  • Participate in business development activities to attract and retain clients, including networking, presenting at industry conferences, and writing articles for legal publications.
  • Provide mentorship and guidance to junior attorneys and support staff within the firm.

Requirements:

  • Minimum of 8 years of experience in debt finance at a peer law firm.
  • Proven experience in private equity acquisition finance.
  • Preferred experience with oil- and gas-related transactions.
  • Demonstrated ability to represent borrowers, lenders, or both in complex financial transactions.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to work independently and as part of a team.
  • Strong organizational skills and attention to detail.
  • Ability to manage multiple projects and deadlines effectively.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of Texas.
  • Additional certifications in finance or related fields are a plus.
