A law firm in Minneapolis, MN, is seeking a Public Companies & Governance Corporate Associate Attorney with 4-5 years of experience. The ideal candidate will have demonstrated experience in securities law compliance, disclosure, and corporate governance matters. This role involves working closely with the firm’s Public Companies & Governance team on securities law counseling and significant governance transactions. The successful candidate will possess strong academic credentials, excellent communication skills, and a commitment to public company compliance and corporate governance.

Duties:

  • Provide day-to-day counseling on securities law compliance, disclosure, and corporate governance matters.
  • Assist with handling significant governance transactions, including executive succession, corporate crises, shareholder proposals, and shareholder activism.
  • Work closely with the Public Companies & Governance team to address complex legal issues and provide strategic advice.
  • Draft and review legal documents related to securities offerings, mergers and acquisitions, and other corporate matters.
  • Support clients with compliance with federal securities laws, including the Securities Exchange Act of 1934 and related regulations.
  • Manage and respond to regulatory inquiries and compliance reviews.
  • Collaborate with clients to develop and implement corporate governance policies and procedures.
  • Maintain up-to-date knowledge of developments in securities law and corporate governance best practices.

Requirements:

  • 4-5 years of experience advising public companies on securities compliance and corporate governance matters.
  • Demonstrated experience with securities law compliance, disclosure, and corporate governance.
  • Prior experience with general corporate matters, including securities offerings and/or mergers and acquisitions is helpful.
  • In-house experience is valued but not required.
  • Strong academic credentials with a commitment to excellence.
  • Excellent communication skills, both written and verbal.
  • Highly responsive with a demonstrated interest in public company compliance and corporate governance.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to practice law in the relevant jurisdiction (Minnesota Bar required).

Skills:

  • Expertise in securities law compliance and corporate governance.
  • Proficiency in handling significant governance transactions and regulatory matters.
  • Strong drafting and analytical skills.
  • Ability to manage complex legal issues and provide strategic advice.
