This role focuses on providing legal counsel to private foundations, nonprofit organizations, and philanthropists. The ideal candidate will have extensive experience in nonprofit law, corporate governance, tax compliance, and structuring complex transactions for tax-exempt entities. This position offers an opportunity to work closely with a diverse range of clients in the philanthropic sector, advising on federal and state legal matters, mergers, affiliations, and governance issues.

Key Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax issues.
  • Assist in the formation of nonprofit corporations and charitable trusts, including obtaining tax-exempt status.
  • Guide grant agreements, tax compliance, and succession planning for private foundations.
  • Counsel philanthropists on charitable gifts, donor-advised funds, and structuring major donations.
  • Offer legal advice to large 501(c)(3) organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).
  • Structure mergers, affiliations, and joint ventures between nonprofit and for-profit entities.
  • Represent tax-exempt organizations in federal and state audits concerning tax and charitable issues.
  • Navigate complex legal structures involving both for-profit and nonprofit entities.
  • Maintain up-to-date knowledge of relevant laws and regulations in the areas of tax-exempt organizations and philanthropy.

Requirements:

  • Significant experience advising private foundations, charitable organizations, and philanthropists.
  • Extensive knowledge of federal and state laws of tax-exempt organizations.
  • Proven ability to manage complex transactions involving nonprofit organizations.
  • Experience representing clients in audits related to tax-exempt status and charitable issues.
  • Familiarity with corporate governance issues specific to large 501(c)(3) organizations.
  • Strong research, analytical, and problem-solving skills.
  • Excellent communication skills, both written and verbal.
  • Ability to work independently and as part of a collaborative legal team.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in good standing with the State Bar of Utah, or ability to obtain licensure in Utah.

Certifications:

  • Admission to the Utah Bar or eligibility for reciprocal admission.
