Corporate Associate Crypto/Blockchain

Job Overview:
A prestigious law firm is seeking a Corporate Associate with 3-6 years of transactional experience, specializing in Crypto and Blockchain. The ideal candidate will have a deep understanding of blockchain technology and markets, and experience advising crypto and Web3 companies on a range of transactions, including venture capital financings, token issuances, and digital asset sales. Location:

• Los Angeles, CA

Duties:

• Advise crypto and Web3 companies on venture capital financings, including crypto token rights or token warrants
• Assist with crypto token, digital asset, and NFT issuances
• Support primary and secondary sales of crypto tokens and digital assets
• Assist in the creation of offshore structures related to crypto token and digital asset issuances
• Provide counsel on blockchain technology, markets, and securities law and regulatory issues related to crypto tokens

Requirements:

• 3-6 years of transactional experience with a focus on crypto, blockchain, and Web3
• Experience in advising clients on venture capital financings, crypto token rights, and token issuances
• Familiarity with blockchain technology and crypto markets
• Understanding of securities law and regulatory issues surrounding crypto tokens
• Strong academic background with excellent legal research and writing skills
• Ability to work independently and as part of a team in a fast-paced environment

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to the State Bar (preferred jurisdiction based on location)

Skills:

• In-depth understanding of blockchain technology, digital assets, and crypto markets
• Transactional experience with venture capital financings, NFT issuances, and digital asset sales
• Knowledge of securities law and regulatory issues related to crypto
• Strong drafting and negotiation skills
