Duties

  • Review and analyze agreements for compliance with tax code Section 409A
  • Perform 280G calculations related to golden parachute payments
  • Revise and negotiate merger and employment agreements in high-value M&A transactions
  • Provide strategic guidance on executive compensation matters and other tax-related compliance issues
  • Collaborate with clients and partners to ensure tax and benefit compliance within transactional contexts

Requirements

  • Juris Doctor (JD) degree
  • 5+ years of experience as a tax or employee benefits attorney, ideally in a law firm setting
  • Active bar membership in good standing
  • Extensive experience with BigLaw or comparable high-level legal work

Education

  • Juris Doctor (JD) from an accredited law school
  • LL.M. in Tax or Employee Benefits (preferred)

Certifications

  • Bar Admission in good standing

Skills

  • Expertise in tax law, particularly with sections 409A and 280G
  • Strong analytical skills, with proficiency in complex calculations and compliance review
  • Detail-oriented with excellent organizational and time-management abilities
  • High-level communication skills for negotiating and advising in transactional settings
