A law firm is seeking a Mid-Level Corporate Associate Attorney in San Francisco, CA, with the following qualifications and responsibilities:

Job Overview: The Mid-Level Corporate Associate Attorney will handle a diverse range of corporate and transactional matters, including seed and venture capital transactions, corporate governance, mergers and acquisitions, private and public securities offerings, and SEC reporting. Preferred candidates will have experience or a keen interest in working with life sciences companies.

Duties:

  • Manage various corporate and transactional matters, including drafting and negotiating agreements, conducting due diligence, and providing legal advice.
  • Participate in and lead meetings with clients, other attorneys, and third parties.
  • Conduct legal research and analysis to support clients' business objectives.
  • Assist in the preparation and review of corporate documents and filings.
  • Collaborate with other attorneys and support staff to ensure efficient and effective delivery of legal services.

Requirements:

  • 3-5 years of experience in corporate and transactional law, preferably focusing on seed and venture capital transactions, mergers and acquisitions, and securities offerings.
  • Experience working with life sciences companies is preferred, but candidates with a demonstrated interest in this area will also be considered.
  • Strong academic credentials from a reputable law school.
  • Admitted to the State Bar of California or eligible for admission by waiver.
  • Excellent written and verbal communication skills.
  • Ability to work both independently and collaboratively in a fast-paced environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of California or eligibility for admission by waiver.

Skills:

  • Proficiency in legal research and writing.
  • Strong analytical and problem-solving skills.
  • Attention to detail and ability to manage multiple tasks simultaneously.
  • Ability to work effectively under pressure and meet deadlines.
  • Excellent interpersonal skills and ability to communicate complex legal concepts to clients and colleagues.
