Job Overview: A law firm located in New York City, NY, is seeking a Mid-Level Licensing Associate Attorney with 3-6 years of experience to join their team. The ideal candidate will have a strong background in intellectual property licensing, technology transfer, and technology transactions, particularly within the life sciences sector. This position involves drafting and negotiating various intellectual property agreements, conducting due diligence for corporate transactions, and providing support in intellectual property matters. The candidate should have excellent academic credentials, prior law firm experience, and exceptional communication skills. California Bar admission or eligibility for prompt admission is required.

Duties:

  • Draft and negotiate intellectual property licenses, including patent and trademark licenses.
  • Handle joint development, collaboration, and strategic alliance agreements.
  • Prepare and review technology licenses and services agreements, including software as a service agreement.
  • Manage distribution agreements.
  • Perform intellectual property and technology transaction due diligence for corporate transactions and technology transfers.
  • Provide support for intellectual property and technology-related matters.

Requirements:

  • 3-6 years of relevant legal experience.
  • Proven experience in intellectual property licensing and technology transactions.
  • Familiarity with intellectual property support, including due diligence for corporate transactions.
  • Outstanding academic credentials.
  • Comparable experience in a law firm setting.
  • Exceptional written and verbal communication skills.
  • California Bar admission or eligibility to obtain admission promptly.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • California Bar admission or eligibility for prompt admission.

Skills:

  • Strong negotiation and drafting skills.
  • Knowledge of intellectual property law, patent, and trademark licensing.
  • Familiarity with technology transfer and corporate transactions.
