Job Overview:

A law firm in Durham, NC, seeks an experienced Business and Corporate Attorney to provide comprehensive legal services to corporate clients. The ideal candidate will deeply understand business transactions, including structuring, entity formation, and critical contracts. This role involves drafting and negotiating various transaction documents and advising corporate matters. The position demands a high level of detail, perseverance, and responsiveness, with the flexibility to work outside typical business hours as needed.

Duties:

  • Advise corporate clients on structuring, entity formation, and business transactions.
  • Draft and negotiate transaction documents related to mergers and acquisitions, asset purchases, financing, and buy-sell arrangements.
  • Manage transactions from structuring to closing, including conducting due diligence.
  • Handle corporate governance matters and advise on financing and tax aspects of transactions.
  • Assist clients with raising debt and private equity capital and provide legal counsel to C-Suite executives and management.
  • Address issues related to buyouts, private placements, confidentiality agreements, and plans of dissolution and liquidation.

Requirements:

  • Minimum of 8 years of experience in a business transactions practice.
  • Extensive drafting experience and proven ability to lead significant transaction aspects.
  • Experience with corporate governance and understanding of financing and tax implications.
  • Ability to handle various business entities and provide strategic legal advice.
  • Flexibility to work beyond typical business hours as necessary.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in relevant jurisdictions. Candidates licensed to practice in states other than VA and NC will also be considered.

Skills:

  • Strong drafting and negotiation skills.
  • Proven experience in leading transactions and managing due diligence.
  • In-depth knowledge of corporate governance, financing, and tax matters.
  • Excellent communication and client management abilities.
  • Detail-oriented with a solid commitment to meeting deadlines.
