Duties and Responsibilities:

  • Securities and Capital Markets Expertise:
    • Provide expert legal advice on public company reporting obligations and SEC compliance.
    • Oversee and manage public securities offerings, including structuring and executing debt and equity transactions.
    • Ensure adherence to corporate governance standards and regulatory requirements.
  • Advisory and Reporting:
    • Guide clients on complex reporting requirements and compliance issues.
    • Draft, review, and negotiate securities-related documents such as registration statements, prospectuses, and underwriting agreements.
  • Due Diligence and Team Management:
    • Lead due diligence teams for securities transactions and corporate governance matters.
    • Coordinate with and manage specialists to ensure comprehensive due diligence and compliance.
  • Document Drafting and Review:
    • Prepare and review legal documents, ensuring accuracy, compliance, and thoroughness.
    • Handle the drafting of critical legal agreements and transaction documents.
  • Project Management:
    • Manage multiple assignments simultaneously with minimal supervision.
    • Demonstrate strong organizational and time-management skills to handle complex legal projects effectively.

Requirements:

  • Experience:
    • 2-5 years of experience in corporate law, with a focus on securities law advice and capital markets transactions.
    • Demonstrated expertise in public company reporting, SEC compliance, and capital markets regulations.
  • Education and Certifications:
    • Juris Doctor (JD) degree from an accredited law school.
    • Admission to the California State Bar or eligibility for admission.
  • Skills and Qualifications:
    • In-depth knowledge of securities laws, public company reporting, and capital markets transactions.
    • Exceptional writing, drafting, and analytical skills.
    • Strong academic background and proven ability to manage multiple projects independently.
