Corporate Securities/Capital Markets Associate Attorney

A law firm in Los Angeles, CA, is seeking a Corporate Securities/Capital Markets Associate Attorney with 2-5 years of experience in corporate law. The ideal candidate will have specialized expertise in securities and capital markets, including public company reporting obligations, SEC compliance, corporate governance, and both debt and equity markets transactions. The candidate must have proven experience advising on reporting requirements, leading due diligence teams, managing specialists, and drafting critical legal documents. Exceptional writing skills, superior academic credentials, and the ability to manage multiple assignments with minimal supervision are required.

Duties and Responsibilities:

• Securities and Capital Markets Expertise:
  • Provide expert legal advice on public company reporting obligations and SEC compliance.
  • Oversee and manage public securities offerings, including structuring and executing debt and equity transactions.
  • Ensure adherence to corporate governance standards and regulatory requirements.
• Advisory and Reporting:
  • Guide clients on complex reporting requirements and compliance issues.
  • Draft, review, and negotiate securities-related documents such as registration statements, prospectuses, and underwriting agreements.
• Due Diligence and Team Management:
  • Lead due diligence teams for securities transactions and corporate governance matters.
  • Coordinate with and manage specialists to ensure comprehensive due diligence and compliance.
• Document Drafting and Review:
  • Prepare and review legal documents, ensuring accuracy, compliance, and thoroughness.
  • Handle the drafting of critical legal agreements and transaction documents.
• Project Management:
  • Manage multiple assignments simultaneously with minimal supervision.
  • Demonstrate strong organizational and time-management skills to handle complex legal projects effectively.

Requirements:

• Experience:
  • 2-5 years of experience in corporate law, with a focus on securities law advice and capital markets transactions.
  • Demonstrated expertise in public company reporting, SEC compliance, and capital markets regulations.
• Education and Certifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California State Bar or eligibility for admission.
• Skills and Qualifications:
