Of Counsel - Transactional Franchise Attorney

A law firm seeks an experienced Of Counsel - Transactional Franchise Attorney to join its team in Raleigh, NC, with options for remote work. This role requires a skilled attorney with in-depth knowledge of U.S. franchise law, who will be responsible for drafting franchise agreements, managing regulatory filings, and advising clients on complex transactional matters. The position offers an opportunity to work with a diverse client base, including international and domestic companies in various sectors.

Duties:

• Draft and review franchise agreements, disclosure documents, and other regulatory filings.
• Provide strategic guidance on complex transactions within franchise and distribution law.
• Offer counsel on U.S. franchising regulations and compliance requirements.
• Advise a diverse range of clients, including private equity firms, established and emerging franchisors, and international businesses entering the U.S. market.
• Collaborate with colleagues on both transactional and litigation matters within the franchise sector.

Requirements:

• Minimum of 8 years’ experience in transactional franchise law.
• Extensive knowledge of U.S. franchise regulations; experience in international franchising or mergers and acquisitions is beneficial.
• Admission to practice law in North Carolina or eligibility for admission via waiver.
• Strong analytical, drafting, and communication skills.
• Ability to work independently and within a collaborative team environment.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• Active membership in good standing with the North Carolina State Bar or eligibility for admission.
