A law firm in St. Louis is seeking a Commercial Finance Associate Attorney with 5+ years of experience. The ideal candidate will be an outgoing self-starter who can actively engage in the documentation, management, and closing of commercial finance transactions. This role requires close collaboration with banks, financial institutions, private equity firms, state and local governments, and their counsel. Experience with tax-advantaged financing, tax credits, real estate, and/or mergers and acquisitions is preferred. The candidate must be licensed to practice in Missouri.

Key Responsibilities:

  • Lead the documentation, negotiation, and closing of commercial lending transactions.
  • Work closely with transaction parties, including banks, financial institutions, private equity firms, state and local governments, and their respective counsel.
  • Draft and negotiate loan agreements, credit agreements, and related documentation.
  • Handle all aspects of Article 9 secured transactions, including drafting and negotiating intercreditor agreements.
  • Provide legal advice and strategic guidance on commercial finance matters.
  • Manage complex transactions from inception to completion, ensuring compliance with all legal and regulatory requirements.
  • Collaborate with clients and internal teams to address and resolve legal issues.
  • Stay current on developments in commercial finance law and industry trends.

Requirements:

  • 5+ years of experience in drafting, negotiating, and closing commercial lending transactions.
  • Strong understanding of Article 9 secured transactions and meaningful experience in drafting and negotiating intercreditor agreements.
  • Experience with tax-advantaged financing, various tax credits, real estate, and/or mergers and acquisitions is preferred.
  • Licensed to practice law in Missouri.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Bar in Missouri.
