A law firm in Raleigh, NC, is seeking a talented Corporate Funds and Private Equity Associate Attorney with 4-6 years of experience in investment funds and investment management. The ideal candidate will have substantial experience representing private equity sponsors and/or agents in various transactions. The role requires a creative and solutions-oriented approach, along with strong analytical and writing skills. Candidates must be licensed and in good standing in the state of North Carolina.

Duties and Responsibilities:

  • Provide expert legal advice on investment funds, including private equity, hedge funds, and venture capital.
  • Represent private equity sponsors and agents in transactions involving fund formation, capital raising, and investment structuring.
  • Draft, review, and negotiate complex legal documents such as limited partnership agreements, subscription agreements, and offering memoranda.
  • Conduct comprehensive legal research and prepare detailed reports, memoranda, and other legal documents.
  • Assist in structuring and negotiating investment transactions, including joint ventures, mergers and acquisitions, and strategic investments.
  • Advise clients on compliance with securities laws and regulations related to investment funds and private equity.
  • Collaborate with other attorneys and legal professionals to develop and implement effective legal strategies.
  • Stay updated on legal and regulatory developments in investment funds and private equity to provide informed legal counsel.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents in a broad range of transactions.
  • Ability to handle complex legal issues related to investment funds and private equity.
  • Creative, solutions-oriented mindset with strong analytical and problem-solving skills.
  • Excellent writing and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing to practice law in the state of North Carolina.

Skills:

  • Expertise in investment funds and private equity law.
  • Advanced skills in drafting and negotiating complex legal documents.
  • Strong analytical abilities and attention to detail.
  • Proficiency with legal research tools and case management software.
