Job Overview:

A law firm is seeking a Mid/Senior-Level Public Mergers and Acquisitions Associate Attorney with 3-6 years of experience to join their team in San Francisco, CA. The ideal candidate will have a strong background in mergers and acquisitions and transactional law, particularly emphasizing public company transactions and related securities laws.

Job Duties:

  • Represent clients in mergers and acquisitions transactions involving public companies on both the sell-side and buy-side.
  • Draft, review, and negotiate transactional documents, including merger agreements, asset purchase agreements, stock purchase agreements, and related documents.
  • Advise clients on securities law compliance, including disclosure requirements and corporate governance issues.
  • Conduct due diligence investigations and prepare due diligence reports.
  • Assist in structuring and negotiating transactions, including preparing shareholder and board resolutions.
  • Collaborate with other attorneys and support staff to provide comprehensive legal services to clients.
  • Keep up to date with developments in mergers and acquisitions law and related areas.

Requirements:

  • 3-6 years of experience in mergers and acquisitions and transactional law.
  • Experience with public company transactions, both on the sell-side and buy-side.
  • Strong understanding of related securities laws.
  • Outstanding academic credentials.
  • Comparable law firm experience.
  • Excellent written and verbal communication skills.
  • Relevant CA Bar admission or eligibility to obtain admission promptly.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the California State Bar or eligibility to promptly obtain admission.

Skills:

  • Strong analytical and problem-solving skills.
  • Excellent negotiation and drafting skills.
  • Ability to manage multiple projects and deadlines.
