Job Overview: A leading law firm in New York City is seeking a Mid-Level to Senior Corporate M&A Associate Attorney to join its diverse corporate practice. This role involves handling a variety of corporate mergers and acquisitions (M&A) matters and working closely with clients on complex transactions. The ideal candidate should have significant M&A experience and a strong legal background.

Location:

  • New York, NY (On-site)

Duties:

  • Draft a wide range of M&A-related agreements, including purchase and sale agreements, merger agreements, joint venture agreements, shareholder agreements, and ancillary documents.
  • Communicate and correspond effectively with colleagues, clients, and other legal counsel.
  • Analyze legal issues related to corporate M&A and conduct related research when necessary.
  • Utilize corporate M&A reference materials and electronic resource tools.
  • Prioritize and organize workload to meet deadlines.
  • Maintain effective working relationships and communicate proficiently in English, both verbally and in writing.

Requirements:

  • Significant experience in corporate mergers and acquisitions.
  • Ability to manage complex transactions and work collaboratively with legal teams and clients.
  • Strong communication skills, both written and oral.
  • Detail-oriented and capable of prioritizing tasks in a fast-paced environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Bachelor's degree.
  • Admitted to practice law in the State of New York.

Certifications:

  • Licensed to practice law in New York.

Skills:

  • Expertise in drafting and negotiating complex M&A agreements.
  • Strong analytical and problem-solving abilities.
  • Familiarity with corporate M&A reference materials and electronic resources.
  • Ability to build and maintain professional relationships with clients and colleagues.
  • Excellent organizational skills and the ability to prioritize tasks efficiently.
