A law firm in Washington, DC, is seeking a Structured Credit and Collateralized Loan Obligations (CLO) Associate Attorney with 2+ years of substantial experience in securitization and structured finance or transactional experience with a strong interest in CLOs. The successful candidate will join the firm’s expanding and high-performing Global Finance group. The ideal candidate will have prior experience with private credit, CLOs, fund finance, NAV-based facilities, or subscription line credit facilities, along with excellent academic credentials.

Key Responsibilities:

  • Advise clients on structured finance transactions, including the structuring, negotiation, and execution of Collateralized Loan Obligations (CLOs).
  • Draft, review, and negotiate complex legal documents related to CLOs, securitizations, and other structured credit products.
  • Work closely with clients, including financial institutions, investment funds, and other market participants, to structure and execute private credit and other structured finance transactions.
  • Provide legal guidance on fund finance, including NAV-based facilities and subscription line credit facilities.
  • Collaborate with cross-functional teams within the firm, including tax, regulatory, and compliance specialists, to ensure seamless execution of transactions.
  • Stay current on market trends, regulatory developments, and legal precedents affecting structured credit and CLO markets.
  • Manage multiple transactions simultaneously, ensuring timely and efficient completion of deals while maintaining a high standard of work quality.
  • Develop and maintain strong client relationships, providing ongoing legal support and strategic advice.

Requirements:

  • 2+ years of experience in securitization and structured finance or relevant transactional experience with a strong interest in CLOs.
  • Prior experience with private credit, CLOs, fund finance, NAV-based facilities, or subscription line credit facilities is preferred.
  • Excellent written and oral communication skills.
  • Strong organizational skills with the ability to manage multiple complex transactions concurrently.
  • Proven analytical and problem-solving abilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Excellent academic credentials.

Skills and Abilities:

  • Expertise in drafting and negotiating complex legal documents in the context of structured finance.
  • Proficiency in legal research and analysis related to structured credit products and transactions.
  • High attention to detail and accuracy in document preparation and review.
  • Strong interpersonal communication skills for effective client interaction and teamwork.
  • Ability to work both independently and collaboratively within a fast-paced legal environment.
  • Strategic thinking with a focus on providing practical, results-oriented legal advice.

Certifications:

  • Active membership in the Bar of the jurisdiction in which the candidate will be working (Washington, DC) or eligibility for admission.
