The attorney will represent lenders in complex financing transactions, providing legal support and advice on a variety of financial matters, including structuring, negotiation, and documentation.

Job Responsibilities:

  • Represent lenders in private credit, acquisition finance, and leveraged finance transactions.
  • Assist with the structuring, negotiation, and drafting of financing documents, including loan agreements, credit facilities, security agreements, and related documentation.
  • Conduct due diligence on borrowers and collateral, ensuring compliance with applicable laws and regulations.
  • Advise clients on regulatory and compliance issues related to private credit and leveraged finance transactions.
  • Collaborate with senior attorneys, clients, and financial institutions to develop tailored financing solutions.
  • Review and advise on loan covenants, security interests, and financial terms in various financing transactions.
  • Ensure timely completion of all documentation and filing requirements, working closely with paralegals and other support staff.
  • Stay current on developments in banking law, finance law, and related regulations to provide accurate legal advice to clients.

Requirements:

  • Minimum of 2+ years of experience in private credit, acquisition finance, or leveraged finance.
  • Experience working on lender-side financing transactions.
  • Strong drafting and negotiation skills related to loan agreements and financing structures.
  • Excellent oral and written communication skills.
  • Ability to manage a diverse caseload and meet deadlines in a fast-paced environment.
  • Strong understanding of financial documentation, loan covenants, and security interests.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California State Bar or eligibility to obtain admission.

Certifications (Preferred):

  • Certification or coursework in banking law, finance law, or securities law is beneficial but not required.
