Job Overview

A law firm seeks a highly skilled Mid-Senior Level Capital Markets Associate Attorney to join its Florham Park, NJ team. The ideal candidate will have a substantial background in capital markets, with expertise in public and private equity offerings, SEC regulations, and corporate governance. This role requires excellent client management, drafting, and negotiation skills.

Duties and Responsibilities

  • Lead and manage public and private equity offerings, including initial public offerings (IPOs) and follow-on offerings.
  • Prepare and review proxy and S-4 registration statements for business combination transactions.
  • Interface with the SEC and other regulatory bodies.
  • Ensure compliance with the ongoing reporting requirements under the ’34 Act for public companies, including preparing 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Represent both issuers and underwriters in various transactions.
  • Provide legal counsel on SPACs, REITs, and debt offerings.
  • Advise public companies on corporate governance matters.
  • Maintain and grow client relationships through effective client management.
  • Draft, review, and negotiate legal documents with precision and accuracy.

Requirements

  • Minimum of 4+ years of experience in capital markets, focusing on public and private equity offerings.
  • Strong background in interfacing with the SEC and other regulatory agencies.
  • Familiarity with the ongoing reporting requirements under the ’34 Act.
  • Experience representing both issuers and underwriters.
  • Additional experience with SPACs, REITs, and debt offerings is a plus.
  • Proven ability to counsel public companies on corporate governance matters.
  • Admission to one or more State Bars.

Education and Certifications

  • Juris Doctor (JD) from an accredited law school.
  • Admission to practice law in one or more states is required.
