Job Overview: A law firm in New York City is seeking a Mid-Level Executive Compensation and Employee Benefits Associate Attorney. The ideal candidate will have diversified executive compensation and benefits practice and experience advising private and public companies and alternative asset managers on executive compensation matters, including supporting mergers and acquisitions, corporate governance, and capital markets matters.

Duties:

  • Advise private and public companies on executive compensation and employee benefits matters
  • Provide support for mergers and acquisitions, including due diligence and integration of benefits
  • Counsel clients on corporate governance and compliance related to executive compensation
  • Assist with the design and implementation of equity and cash incentive plans
  • Prepare and review executive compensation disclosures in proxy statements and other SEC filings
  • Advise on deferred compensation arrangements and 409A compliance
  • Support clients in negotiating employment agreements, severance arrangements, and other compensation-related contracts
  • Stay current with regulatory and legislative developments affecting executive compensation and employee benefits

Requirements:

  • 3-5 years of experience in executive compensation and employee benefits
  • Admitted to the New York Bar
  • Strong understanding of executive compensation and employee benefits laws and regulations
  • Experience advising on mergers and acquisitions, corporate governance, and capital markets matters
  • Excellent credentials from a top-tier law school

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Admission to the New York State Bar

Skills:

  • Strong analytical and problem-solving skills
  • Excellent written and verbal communication skills
  • Ability to manage multiple tasks and projects simultaneously
  • Strong client service orientation and ability to work effectively in a team environment
  • High attention to detail and organizational skills
