Job Title: Junior Project Finance Associate Attorney

Job Location: Miami, FL

Job Overview:
A prominent law firm in Miami, FL, is seeking a talented Junior Project Finance Associate Attorney to join their growing team. The ideal candidate will bring 2-3 years of experience in project finance, including expertise in structuring and executing various types of financings such as tax equity bridge loans, pre-NTP financings, and backleverage financings. This role offers the opportunity to work on complex, high-profile projects within a collaborative and dynamic environment.

Duties:

  • Assist in structuring and drafting various types of project finance documents, including credit facilities, depositary account agreements, and performance bonds.
  • Draft and negotiate complex agreements such as the balance of plant agreements, supply agreements (for equipment like transformers, turbines, and inverters), and offtake/tolling agreements.
  • Draft and review security documents, including security agreements, pledge agreements, financing statements, and control agreements.
  • Prepare NY-law legal opinions, direct agreements, consents to collateral assignments, and reliance letters.
  • Contribute to due diligence processes and prepare bankability analysis on project documents.
  • Provide support in closing deals and ensure compliance with all necessary documentation and procedures.
  • Assist senior attorneys in managing client relationships and providing legal advice on a wide range of project finance matters.

Requirements:

  • 2-3 years of experience in project finance, with either lender-side or borrower-side exposure.
  • Strong familiarity with credit agreements, project documents (EPC Contracts, Supply Agreements, Offtake Agreements), and New York law-governed security documents.
  • Experience in preparing legal opinions and understanding complex financing structures.
  • Ability to work independently and in collaboration with other team members, displaying entrepreneurial initiative.
  • Capable of handling multiple tasks and managing deadlines in a fast-paced environment.

Education:

  • JD from an accredited law school with excellent academic credentials.

Certifications:

  • Licensed or eligible for licensure to practice law in the state of Florida.

Skills:

  • Strong written and verbal communication skills, with attention to detail.
  • Excellent analytical and problem-solving abilities.
  • Ability to thrive in a team-oriented environment while taking ownership of individual projects.
  • Knowledge of the project finance landscape and key legal considerations.
