A San Francisco, CA law firm is seeking a Mid-Level Corporate Mergers and Acquisitions Associate Attorney to join their team. The ideal candidate will possess 3-5 years of experience in mergers and acquisitions and general transactional law. Duties:

• Advise clients on mergers, acquisitions, divestitures, and other corporate transactions.
• Draft, review, and negotiate transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements.
• Conduct due diligence and provide legal analysis and recommendations on business deals and strategic initiatives.
• Collaborate with clients and legal professionals to develop and implement transaction strategies.
• Manage multiple transactions simultaneously, ensuring timely and effective completion of all legal tasks.
• Stay updated on relevant legal and regulatory changes impacting corporate transactions.
• Assist in the preparation of client presentations and documentation for regulatory filings.
• Support senior attorneys in complex transactional matters and mentor junior associates.

Requirements:

• 3-5 years of experience in mergers and acquisitions and general transactional law.
• Strong understanding of corporate and securities law.
• Proven track record of handling complex transactions and legal issues.
• Experience with due diligence processes and risk assessment.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the California State Bar.
