A law firm seeks a seasoned attorney specializing in Emerging Companies and Venture Capital (ECVC) to join its Business Group. This role offers a comprehensive platform to attract a diverse business client base, offering hands-on guidance for both start-up and established clients. The successful candidate will engage in complex business transactions and provide ongoing client counseling in a range of industry sectors.

Duties

  • Offer strategic advice on corporate governance and compliance matters.
  • Lead capital-raising efforts through private offerings and debt/equity financing, collaborating with various sources including angel investors, venture funds, and banks.
  • Structure, negotiate, and execute complex transactions across multiple industries.
  • Provide expertise in public company matters, capital markets, securities, and M&A as needed.
  • Build and sustain strong client relationships, providing proactive legal solutions.
  • Participate in pro bono and public service projects to support underserved communities.
  • Collaborate with colleagues across multiple offices.

Requirements

  • Experience: Minimum of 7 years representing early-stage and emerging brands in capital raise transactions, including private offerings and a range of financing solutions. Additional expertise in public company matters, capital markets, and M&A is advantageous.
  • Client Base: A partial portable book of business is required.
  • Academic Credentials: JD from an ABA-accredited law school.
  • Licensing: Active law license.
  • Skills: Strong analytical and writing skills, with a client-focused approach.
  • Project Management: Ability to manage multiple responsibilities independently and as part of a team.

Education

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications

  • Active law license.

Skills

  • Deep understanding of corporate governance and venture capital transactions.
  • Proficient in financing transactions, investor relations, and compliance advisory.
  • Strong organizational skills and attention to detail.
  • Excellent communication abilities for effective client engagement and management of complex legal matters.
