A law firm is seeking a Partner Matters Unit Lawyer for its New York City office.

Job Overview:

The Partner Matters Unit Lawyer will play a pivotal role in providing legal support and guidance on partner-related matters, including governance documents, HR issues, and partnership lifecycle management. This role requires a seasoned legal professional with expertise in partnership law, corporate governance, and HR law.

Duties:

  • Act as a primary advisor to global partners and HR teams on the firm’s constitutional and governance documents and partner HR-related matters.
  • Provide support and advice to the US General Counsel on specific partner issues as needed.
  • Manage the documentation process throughout the partnership lifecycle, drafting various partner documents such as offer letters, equity agreements, and withdrawal agreements.
  • Oversee the formalities of promotion to partnership and equity progression within all practice entities, particularly in the US.
  • Advise on partner relocations, secondments, and contractual issues, ensuring smooth transitions.
  • Manage the process around partner withdrawals, including negotiation of clauses and agreements.
  • Research and monitor legal and regulatory developments relevant to partners, updating partner policies accordingly.
  • Handle ad hoc queries from partners and HR heads, determining appropriate courses of action.
  • Collaborate with the global HR team on project work, such as opening new offices or change management programs.
  • Maintain partner files, continually developing processes, documentation, and reporting related to partner matters.

Requirements:

  • Significant legal experience in a law firm, in-house, or regulatory environment.
  • Exposure to partnership law, professional conduct rules, corporate governance, and HR law preferred.
  • International experience beneficial.
  • Proficiency in Microsoft Word and Excel; Microsoft Powerpoint skills a plus.
  • Strong research and monitoring abilities regarding legal and regulatory developments.
  • Excellent drafting and negotiation skills with keen attention to detail.
  • Strong commercial acumen and ability to form effective client relationships.
  • Discretion and ability to handle sensitive issues with influence at all levels.
  • Proven ability to multitask, deliver pragmatic advice, and balance legal risks with business objectives.
  • Excellent communication and interpersonal skills.
  • Independent self-starter with a proactive attitude and willingness to learn and take ownership of matters.

Education and Certifications:

  • Law degree from an accredited institution.
  • Admission to NY Bar.
