Job Overview: A highly regarded law firm in New York is seeking a mid-level Associate to join its Finance & Transactions team, focusing on Mergers & Acquisitions (M&A). This role offers the opportunity to work with a collaborative team on complex M&A and private equity transactions. The ideal candidate will have experience in private company M&A, private equity, and venture capital transactions, and will be responsible for leading various stages of deals. Location:

Duties:

  • Advise clients on M&A transactions, with a focus on private company M&A and private equity work.
  • Lead initial stages of deals, including negotiating term sheets and drafting purchase/merger agreements.
  • Work with private equity sponsors on acquisitions, dispositions, and growth equity/venture capital matters.
  • Manage multiple M&A matters simultaneously while ensuring high-quality client service.
  • Participate in business development activities and client-facing initiatives.
  • Collaborate with shareholders and other team members to provide strategic legal guidance.

Requirements:

  • 4-6 years of transactional/M&A experience at a law firm.
  • Expertise in private company M&A, private equity, and venture capital transactions.
  • Ability to lead the early stages of deals, including negotiations and drafting.
  • Experience managing multiple deals or matters simultaneously.
  • Strong written and oral communication skills, with the ability to work in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials are required.

Certifications:

  • Admission to the New York State Bar, or in the process of obtaining admission, and in good standing.

Skills:

  • Strong negotiation and legal drafting skills.
  • Excellent project management and organizational abilities.
  • Ability to collaborate effectively with clients and internal teams.
  • Client-oriented with strong interpersonal and communication skills.
