Duties:

• Handle complex business transactions, including mergers, acquisitions, and asset sales or liquidations.
• Provide counsel on joint ventures, business succession planning, and corporate legal matters.
• Draft and negotiate contracts such as employment agreements, leases, and loan modifications.
• Advise clients on real estate and leasing transactions, including land purchases and lease agreements.
• Ensure regulatory compliance and advise on intellectual property matters.
• Oversee the formation and dissolution of various legal entities, including non-profit organizations.
• Mediate and manage contract disputes and provide litigation support when needed.

Requirements:

• Minimum of 5-8 years of experience in corporate and business law (law firm or in-house experience preferred).
• Strong knowledge of corporate governance and transactional work.
• Ability to manage complex business and legal matters independently.
• Superior verbal and written communication skills.
• Proficiency in drafting, reviewing, and negotiating legal documents.
• Strong client service orientation with the ability to collaborate effectively.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the California State Bar in good standing.

Certifications:

• Active membership with the California State Bar.

Skills:
