A law firm is seeking a Mergers and Acquisitions and Private Equity Associate Attorney in Houston, TX.

Job Overview:

The Mergers and Acquisitions and Private Equity Associate Attorney will provide legal support and guidance on various aspects of mergers, acquisitions, and private equity transactions. The ideal candidate will have 3-4 years of relevant experience in a major law firm and must be highly motivated, with excellent academic credentials and superior communication skills. Membership to the TX State Bar is required.

Duties:

  • Conduct legal research and analysis related to mergers, acquisitions, and private equity transactions.
  • Draft and review transactional documents, including merger agreements, purchase agreements, and disclosure schedules.
  • Assist in due diligence investigations and the preparation of due diligence reports.
  • Work closely with senior attorneys to advise clients on deal structures, regulatory compliance, and risk management.
  • Participate in negotiations with opposing counsel and other parties involved in transactions.
  • Provide support in post-closing matters, including integration and transition issues.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Membership to the TX State Bar.
  • 3-4 years of experience in mergers and acquisitions and private equity transactions in a major law firm.
  • Strong understanding of corporate and securities laws.
  • Excellent analytical and problem-solving skills.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Exceptional attention to detail and organizational skills.

Certifications:

  • Membership to the TX State Bar.

Skills:

  • Proficiency in legal research tools and databases.
  • Excellent written and verbal communication skills.
  • Ability to effectively communicate complex legal concepts to clients and colleagues.
