Job Overview:

A law firm is seeking a Corporate Mergers and Acquisitions Private Equity Associate Attorney with 4-6 years of relevant experience to join its IT team in Atlanta, GA. The ideal candidate will have a strong background in mergers and acquisitions and private equity transactions, excellent writing and analytical skills, and experience working in an Am Law 100 firm.

Duties and Responsibilities:

  • Represent clients in complex mergers and acquisitions, private equity transactions, and corporate matters.
  • Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and other corporate contracts.
  • Conduct due diligence and manage due diligence processes.
  • Advise clients on corporate governance issues and compliance with federal and state securities laws.
  • Work closely with partners, associates, and clients to ensure successful transaction closings.
  • Manage multiple transactions simultaneously, ensuring all deadlines are met.
  • Assist in structuring transactions and providing strategic legal advice to clients.
  • Stay abreast of industry trends and changes in relevant laws and regulations.
  • Participate in business development activities and client pitches.

Requirements:

  • 4-6 years of mergers and acquisitions and private equity transactional experience.
  • Experience working in an Am Law 100 law firm.
  • Excellent writing and analytical skills.
  • Strong organizational skills and attention to detail.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Strong interpersonal and communication skills.
  • Ability to work both independently and as part of a team.

Education and Certifications:

  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Admission to the Georgia Bar.

Skills:

  • Proficiency in legal research and writing.
  • Advanced knowledge of corporate law, mergers and acquisitions, and private equity transactions.
  • High level of professionalism and strong work ethic.
  • Ability to build and maintain strong client relationships.
