Job Overview:

A prestigious law firm based in San Francisco, CA, is seeking a talented and experienced Mid-Level Corporate/IP Transactions Associate Attorney to join their Intellectual Property/Technology Transactions team. The successful candidate will play a critical role in advising clients on the intellectual property aspects of corporate transactions such as mergers and acquisitions, joint ventures, and financing deals. The position demands a strong background in both corporate and IP law to effectively support the firm’s diverse client base.

Duties:

• Provide legal counsel on the intellectual property aspects of corporate transactions, including mergers and acquisitions, financing deals, and joint ventures.
• Lead due diligence processes, particularly focusing on IP-related matters.
• Draft and negotiate technology agreements, licensing agreements, and commercial contracts.
• Advise clients on the protection and strategic use of intellectual property rights in the context of various business transactions.
• Collaborate closely with other practice areas within the firm to offer comprehensive advice and support in cross-disciplinary transactions.
• Support clients in structuring and negotiating complex commercial agreements.
• Stay updated on developments in both intellectual property and corporate law to ensure clients receive the best possible legal advice.

Requirements:

• Significant experience in corporate transactions, particularly mergers and acquisitions, joint ventures, and IP-related transactions.
• Strong background in intellectual property law, with a deep understanding of IP rights and their application in commercial contexts.
• Proficiency in conducting due diligence investigations and preparing transaction documentation.
• Proven ability to negotiate and draft complex contracts, including technology and licensing agreements.
• Excellent communication and interpersonal skills to interact with clients, colleagues, and stakeholders.
• Ability to manage multiple priorities and work effectively under pressure.
• Strong organizational and analytical skills.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Active membership in the State Bar of California.

• Expertise in intellectual property law, especially in the context of corporate transactions.
• Solid experience in corporate law, including mergers, acquisitions, and joint ventures.
