Job Overview:

A prestigious law firm based in Parsippany, NJ is seeking a Corporate Transactional Associate Attorney with 3-5 years of corporate and transactional experience. The ideal candidate will have a robust background in managing various legal matters, including mergers and acquisitions, corporate finance, and governance. Duties:

• Conduct due diligence and legal research in support of corporate transactions.
• Draft, review, and negotiate transactional documents for mergers and acquisitions, joint ventures, and corporate governance.
• Provide legal counsel and support in corporate finance matters.
• Manage substantial portions of various corporate and transactional matters.
• Collaborate with clients and internal teams to address business and legal needs.
• Participate in team-oriented, collaborative legal projects.

Requirements:

• 3-5 years of relevant experience in corporate and transactional law.
• Proven ability to handle due diligence, document drafting, and negotiation.
• Excellent communication and advocacy skills.
• Strong technical skills, with attention to detail and problem-solving abilities.
• NJ or CT Bar admission in good standing.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Active license to practice law in New Jersey or Connecticut.

Certifications:

• Admission to the Bar in NJ or CT (in good standing).

Skills:

• Strong written and verbal communication skills.
• Ability to manage multiple priorities and meet deadlines.
• Team collaboration with an emphasis on client service.
• Knowledge in healthcare or life sciences industries is a plus.
