Job Overview:
A law firm is seeking a highly qualified mid to senior-level Project Finance Associate Attorney with substantial experience in finance, M&A, and/or development of energy and infrastructure projects. The ideal candidate will have expertise in transactional work related to large renewable, conventional power, and energy projects. This is an excellent opportunity to join a growing sponsor-side energy and infrastructure team with significant opportunities for advancement, expansion, and leadership.

Location:

  • Denver, CO

Duties:

  • Provide legal support for large energy and infrastructure projects, with a focus on renewable and conventional power projects.
  • Draft and negotiate key documents, including credit and security documentation, power purchase agreements, purchase and sale agreements, and merger documentation.
  • Lead closings for financings or acquisitions/dispositions in the energy and infrastructure sectors.
  • Assist with project contracts, including drafting and negotiating power purchase agreements and related supply/offtake agreements.
  • Work across a variety of industries such as wind, solar, natural gas, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Collaborate with senior attorneys and clients to ensure effective structuring and negotiation of projects.

Requirements:

  • 4-6 years of experience in project finance, M&A, or energy infrastructure law.
  • Strong experience drafting and negotiating project finance documents, such as power purchase agreements and related contracts.
  • Expertise in credit and security documentation, purchase and sale agreements, and merger documentation.
  • Proven ability to run closings for financings or acquisitions/dispositions in the energy, power, or infrastructure sectors.
  • Familiarity with various energy projects, including wind, solar, natural gas, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Ability to work collaboratively and manage complex transactions.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in the state bar (or eligible to practice in the jurisdiction).

Certifications:

  • Bar License (Required)

Skills:

  • Strong research, writing, and drafting skills.
  • Excellent negotiation and communication skills.
  • Ability to lead transactions and manage client relationships.
  • Detail-oriented with strong organizational and multitasking abilities.
  • Proficiency in drafting and negotiating energy and infrastructure project finance documents.
