A law firm seeks an experienced Principal Attorney with expertise in securities law and capital markets to join its Business Group in New York City, NY. This role involves advising clients on complex transactions including public offerings, regulatory compliance, and corporate governance, serving both emerging and established public companies. The attorney will collaborate with talented professionals across multiple practice areas, supporting clients through regulatory challenges and capital transactions.

Duties

  • Advise clients on public securities offerings, SEC compliance, and corporate governance requirements.
  • Lead complex capital market transactions, including debt and equity offerings.
  • Ensure clients adhere to public company reporting obligations and other securities regulations.
  • Provide guidance on corporate governance structures to support regulatory adherence and business efficiency.
  • Collaborate with attorneys across various practice areas and offices to deliver integrated client solutions.

Requirements

  • Experience: Minimum of 7 years in securities law, capital markets transactions, public securities offerings, SEC compliance, corporate governance, and debt/equity transactions.
  • Portable Book of Business: Required.
  • Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: High proficiency in analytical thinking, legal writing, and commitment to client service.
  • Communication: Exceptional communication skills to clearly advise clients and support their business goals.
  • Teamwork: Ability to work effectively in a diverse, collaborative team as well as independently.
  • Project Management: Capable of managing multiple complex projects with strong attention to detail.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.
