Job Overview: A prestigious law firm is seeking a mid-level corporate associate to join its team in New York. This role involves working in public company reporting and compliance, corporate governance, and capital markets, primarily supporting public companies. The ideal candidate will have experience in capital markets and a deep understanding of securities law, including the Securities Act of 1933, Securities Exchange Act of 1934, and listing requirements for Nasdaq and the NYSE.

Location:

  • New York, NY

Duties:

  • Advise on public company reporting and compliance, including Section 13 and Section 16 filings.
  • Handle corporate governance matters, including proxy statements and periodic reporting.
  • Support capital markets transactions, including IPOs, follow-on offerings, and private placements.
  • Work with large cap and mid-cap public companies, assisting in their day-to-day operations and regulatory filings.
  • Collaborate with internal teams to ensure compliance with securities laws and corporate governance standards.
  • Provide strategic legal advice to clients regarding regulatory matters and corporate governance issues.

Requirements:

  • Minimum 3 years of capital markets experience.
  • Experience working with large cap and mid-cap public companies.
  • Strong understanding of the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Familiarity with Nasdaq and New York Stock Exchange listing and governance requirements.
  • Experience at an AmLaw 100 firm is preferred.
  • Ability to handle multiple projects in a fast-paced environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Must be licensed to practice law in the jurisdiction of the office location.

  • Good business judgment with the ability to work independently and collaboratively.
