Job Title: Mergers and Acquisitions and Private Equity Associate Attorney

Job Overview: A law firm is seeking a highly motivated and experienced Mergers and Acquisitions and Private Equity Associate Attorney to join its team in Los Angeles, CA. The ideal candidate will possess excellent academic credentials, superior communication skills, and have 3-4 years of relevant experience in a major law firm. Membership to the CA State Bar is required.

Job Location: Los Angeles, CA

Responsibilities:

  • Assist in the negotiation and execution of mergers, acquisitions, and private equity transactions.
  • Conduct thorough due diligence investigations and prepare related reports.
  • Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and ancillary documents.
  • Provide legal advice to clients on corporate governance and compliance matters.
  • Coordinate with various stakeholders, including clients, opposing counsel, and other advisors, to facilitate smooth transaction processes.
  • Manage multiple projects simultaneously and ensure deadlines are met.
  • Stay informed of legal developments and industry trends to provide clients with the most current and effective legal solutions.
  • Mentor and supervise junior associates and paralegals as needed.

Requirements:

  • 3-4 years of experience in mergers and acquisitions and private equity in a major law firm.
  • Membership to the CA State Bar.
  • Excellent academic credentials.
  • Exceptional verbal and written communication skills.
  • Superior analytical and problem-solving abilities.
  • Ability to work effectively in a fast-paced and dynamic environment.
  • Strong organizational skills with the ability to manage multiple priorities and tight deadlines.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to practice law in California.

Certifications:

  • Active membership in the California State Bar.

Skills:

  • In-depth understanding of corporate law, particularly in mergers and acquisitions and private equity.
  • Proficiency in legal research and drafting legal documents.
  • Strong negotiation and advocacy skills.
