A law firm seeks a transactional Franchise & Distribution associate to join its team in Wilmington, DE. This role is ideal for a candidate with experience in U.S. franchise regulations and a solid background in drafting franchise-related agreements and regulatory filings. This position offers the opportunity to work within a top-ranked Franchise & Distribution practice, counseling both domestic and international clients across diverse industries.

Duties:

  • Draft franchise-related agreements, franchise disclosure documents, and regulatory filings.
  • Provide legal counsel on complex business transactions within the franchise sector.
  • Advise domestic and international clients on franchise and distribution matters.
  • Support clients in various industries, from private equity firms to start-ups and large-scale franchisors.
  • Collaborate with a team of experienced attorneys on diverse, high-stakes franchise matters.

Requirements:

  • Minimum of 2 years of transactional experience in U.S. franchise law.
  • Knowledge of franchise regulations, including experience with franchise disclosure documents and compliance.
  • Additional experience in international franchise law and mergers & acquisitions is a plus.
  • Licensed to practice law in Delaware or eligible for admission via waiver.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Active member in good standing with the Delaware State Bar or eligible for admission.

Skills:

  • Strong drafting, organizational, and analytical abilities.
  • Effective communication skills, with the capacity to provide complex legal guidance.
  • Ability to work both independently and collaboratively in a team-oriented environment.
