A law firm is seeking a Tax Planning Associate Attorney to join its Tax Planning and Business Transactions section. The ideal candidate will have 1-4 years of experience in tax planning and business transactional work, with strong research, writing, and drafting skills. The role involves providing legal counsel on various tax-related matters for clients, collaborating with other practice areas, and managing multiple projects independently and in teams.

Duties and Responsibilities:

  • Advise clients on a range of tax planning strategies for business transactions, including mergers, acquisitions, and restructurings.
  • Provide legal counsel on federal, state, and local tax matters, ensuring compliance with applicable tax laws and regulations.
  • Assist clients with tax-efficient structuring of corporate and partnership transactions.
  • Draft and review complex legal documents, including tax opinions, transactional agreements, and contracts.
  • Research and analyze tax laws, regulations, and legal precedents to provide thorough legal advice.
  • Prepare legal memoranda and written correspondence regarding tax planning strategies.
  • Assist in representing clients before federal, state, and local tax authorities in audits, appeals, and litigation.
  • Collaborate with accountants, financial planners, and other tax professionals to provide comprehensive tax planning solutions.
  • Work closely with other practice groups within the firm, such as corporate law, real estate, and estate planning, on transactional matters.
  • Maintain up-to-date knowledge of changes in tax law and advise clients accordingly.
  • Participate in business development activities, including networking, client presentations, and thought leadership.

Requirements:

  • Experience: 1-4 years of experience in tax planning and business transactional work.
  • Education: Juris Doctor (JD) degree from an accredited law school; LL.M. in Taxation is preferred but not required.
  • Certification: Must be admitted to practice law in Texas.
  • Skills:
    • Strong knowledge of federal, state, and local tax laws.
    • Excellent legal research, drafting, and writing skills.
    • Ability to manage multiple projects independently and as part of a team.
    • Strong analytical skills with the ability to provide creative tax solutions.
    • Effective communication and client consultation skills.
    • Attention to detail in preparing legal documents and reviewing transactional agreements.
    • Proficiency in legal research databases and tax-related software.
    • Ability to work under pressure and meet deadlines.
