Duties and Responsibilities:

• Advise clients on corporate transactions, including mergers, acquisitions, joint ventures, and private equity investments.
• Draft, review, and negotiate transaction documents, including purchase agreements, merger agreements, and ancillary documents.
• Conducted due diligence and managed due diligence processes for various transactions.
• Collaborate with clients and other stakeholders to develop and implement transaction strategies.
• Provide legal opinions and advice on corporate governance and regulatory compliance issues.
• Assist in structuring and implementing complex business transactions.
• Perform legal research and analysis on corporate law and M&A issues.
• Manage and mentor junior associates and paralegals, providing guidance and support on transactional matters.
• Maintain up-to-date knowledge of relevant laws, regulations, and market trends affecting mergers and acquisitions.

Requirements:

• 3-5 years of experience in mergers and acquisitions and general transactional work.
• Demonstrated experience in managing complex transactions and advising clients on corporate matters.
• Strong understanding of corporate governance, regulatory compliance, and market trends.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:
