Job Title: Private Equity/Mergers and Acquisitions Associate Attorney

Job Overview: A reputable law firm in Cleveland, Ohio, is looking for an Associate Attorney with 4-8 years of corporate transactional experience. This role offers the opportunity to be an essential part of a Private Equity/Mergers and Acquisitions team, focusing on lower-middle-market transactions. The successful candidate will work closely with clients, including private equity firms, private companies, and investment groups, and will have the opportunity to handle key aspects of deals in a collaborative and supportive work environment.

Duties:

  • Assist with complex M&A transactions, particularly private company deals.
  • Draft and negotiate purchase agreements.
  • Act as a "second chair" on deals, running key elements under partner supervision.
  • Provide business-oriented, risk-adjusted legal advice to clients.
  • Work directly with private equity firms, family offices, independent sponsors, and other investment entities.
  • Ensure timely and efficient deal closure by supporting clients’ business goals.

Requirements:

  • 4-8 years of experience in corporate transactional law, with a focus on M&A.
  • Experience with drafting and negotiating purchase agreements.
  • Experience managing critical aspects of deals under supervision.
  • Ability to work directly with clients and build strong professional relationships.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in the State Bar or ability to waive in.

Certifications:

  • Admission to the Ohio State Bar, or ability to waive in.

Skills:

  • Strong understanding of corporate transactions, particularly in private equity and M&A.
  • Excellent drafting, negotiating, and legal research skills.
  • Strong client management and communication abilities.
  • Detail-oriented and able to manage multiple priorities in a fast-paced environment.
  • Collaborative mindset with the ability to work in a team-based, collegial environment.
