The ideal candidate will possess a strong background in public and private securities transactions, corporate governance, and regulatory compliance.

Duties:

• Handle a variety of sophisticated finance transactions, including public and private securities offerings.
• Advise clients on corporate governance, compliance with the Exchange Act, and reporting requirements.
• Ensure adherence to rules and regulations of major exchanges, including the NYSE and Nasdaq.
• Collaborate with senior attorneys, gaining exposure to high-level client interactions and complex legal matters.
• Provide strategic guidance on capital markets matters to corporate clients, managing legal risks and facilitating business objectives.
• Work independently on client matters while benefiting from ongoing mentorship and professional development.

Requirements:

• 3-5 years of corporate law experience with a focus on capital markets.
• Expertise in public and private securities offerings, regulatory compliance, and corporate governance.
• Proven ability to manage complex transactions and work directly with clients.
• Ability to work both independently and collaboratively in a team environment.
• Strong legal research, writing, and analytical skills.
• Exceptional communication skills and the ability to interact effectively with clients and colleagues.

Education:

• J.D. from an accredited law school.

Certifications:

• Active membership in the Bar (preferably in Tennessee or willing to obtain).
