Job Overview:

A law firm in Boston, MA is seeking a highly motivated Blockchain Associate Attorney with deep experience and passion for blockchain technology. The ideal candidate will provide legal counsel to blockchain companies at all stages of growth, assisting in venture capital financings, token issuances, corporate structuring, and Decentralized Autonomous Organization (DAO) formation. This role also involves advising clients on regulatory developments in the evolving blockchain space, along with general venture capital and technology-related corporate transactions.

Key Responsibilities:

  • Provide legal advice on blockchain technology matters, including token issuances, crypto regulations, and blockchain governance structures.
  • Advise emerging companies on venture capital financings and corporate structuring, specifically in the blockchain and cryptocurrency sectors.
  • Assist in the formation and structuring of DAOs, ensuring compliance with relevant regulations.
  • Guide clients through regulatory issues involving the SEC, CFTC, and other U.S. and international regulatory agencies.
  • Support general venture capital and corporate transactions, including mergers, acquisitions, and strategic partnerships.
  • Draft, review, and negotiate agreements such as SAFTs, token purchase agreements, and related corporate documents.
  • Keep clients updated on changes in the regulatory landscape for blockchain and crypto industries.
  • Collaborate with other attorneys in the firm to provide multidisciplinary legal solutions for clients in the blockchain space.
  • Participate in client development initiatives, including industry networking and conference attendance.
  • Maintain knowledge of evolving laws and trends in the blockchain, cryptocurrency, and fintech industries.

Requirements:

  • 2-4 years of experience in a major law firm focusing on Emerging Companies Venture Capital (ECVC) and/or Blockchain/Crypto legal matters.
  • In-depth knowledge of blockchain technology, cryptocurrency markets, and associated regulatory frameworks.
  • Expertise in venture capital transactions, including advising early-stage companies on financing and growth strategies.
  • Proven experience working with DAOs, smart contracts, token sales, and related blockchain agreements.
  • Exceptional verbal and written communication skills.
  • Superior interpersonal skills with the ability to interact effectively with clients and colleagues.
  • Strong organizational and time-management skills with attention to detail.

Education & Certifications:

  • Juris Doctor (J.D.) from an accredited law school.
  • Membership to the State Bar of Massachusetts.
  • Strong academic credentials, preferably from a top-tier law school.
