Job Overview

A distinguished international law firm is seeking a Corporate & Securities Associate to support its growing practice focused on U.S. and cross-border corporate matters. This role primarily involves representing public and private companies on securities compliance, corporate governance, and complex transactions such as M&A and joint ventures. The ideal candidate will have a strong U.S. securities law background, excellent drafting skills, and the ability to work across jurisdictions, particularly between the United States and Europe.

Location

  • Fort Lauderdale, FL

Duties

  • Advise clients on public company reporting obligations and SEC compliance, including preparation and review of:

    • 10-K, 10-Q, 8-K, and other regulatory filings

  • Provide counsel on compliance with:

    • Securities Exchange Act of 1934

    • Securities Act of 1933

    • SPAC-related regulations and disclosures

  • Draft and negotiate documents related to mergers, acquisitions, joint ventures, and other corporate transactions involving U.S. privately held companies

  • Review and draft commercial contracts and general corporate documentation

  • Support U.S. clients on cross-border regulatory, governance, and transactional matters

  • Liaise with European clients, requiring multilingual communication and occasional travel

Requirements

  • Minimum of 4 years of experience in corporate and securities law

  • Strong background in public company representation and SEC compliance

  • Experience advising on M&A and joint ventures involving U.S.-based private companies

  • Proven ability to handle cross-border corporate matters and work with international clients

  • Willingness to travel within Europe and between the U.S. and Italy

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

  • Admission to the New York State Bar

  • Additional U.S. state bar admissions a plus

Skills

  • Exceptional legal writing and analytical skills

  • Fluent (mother tongue) in Italian

  • Working knowledge of other European languages preferred

  • Detail-oriented and highly organized

  • Strong communication and client-service skills

  • Ability to manage multiple matters across jurisdictions and time zones
