The role is focused on managing corporate transactions, including mergers, acquisitions, and regulatory compliance. Duties:

  • Lead legal aspects of mergers, acquisitions, joint ventures, and other corporate transactions
  • Draft, review, and negotiate transaction-related documents such as purchase agreements and shareholder agreements
  • Provide strategic legal advice on deal structures, corporate governance, and regulatory compliance
  • Collaborate with multidisciplinary teams, including financial advisors and accountants, for smooth transaction execution
  • Ensure compliance with relevant federal, state, and industry regulations
  • Assess and mitigate risks in corporate transactions and business operations
  • Advise on corporate governance, policies, intellectual property, and employment issues
  • Draft, review, and modify contracts and legal documents as needed
  • Represent clients in negotiations and provide legal counsel in proceedings and litigations
  • Manage multiple concurrent projects and prioritize tasks effectively
  • Contribute to the firm's business development through client relationship management

Requirements:

  • Minimum of 5 years of experience in corporate law, specifically with mergers and acquisitions
  • Strong knowledge of corporate law, securities law, and corporate governance
  • Demonstrated experience handling complex transactions and regulatory compliance

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Must be licensed to practice law in the state of Georgia
