A law firm seeks a mid to senior-level Corporate Associate to join its team in Fort Lauderdale, FL. This full-time position offers a dynamic opportunity to work with a wide variety of clients across different industries. The role focuses on both domestic and cross-border capital markets and M&A transactions, providing exposure to high-profile clients and complex legal matters. Duties

  • Counsel clients on both domestic and cross-border capital markets and M&A transactions.
  • Work on public and private securities offerings, including Rule 144A offerings, S-1/S-3 registration statements, and S-4 registration statements for business combinations.
  • Interface with the SEC and other regulatory bodies regarding securities offerings and compliance.
  • Advise clients on ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 13 and 16 filings for reporting persons.
  • Provide day-to-day counsel on corporate governance matters for public companies.
  • Lead complex M&A transactions, including drafting and negotiating agreements, conducting due diligence, and managing deal flow.
  • Take significant responsibility for client interactions, deal management, and work product.
  • Collaborate with cross-functional teams to deliver comprehensive legal advice and support.

Requirements

  • A minimum of 4 years of prior experience in capital markets and M&A transactions.
  • Experience with public and private securities offerings, including Rule 144A and S-1/S-3 registration statements.
  • Strong familiarity with SEC regulations, corporate governance, and compliance matters.
  • Proven expertise in drafting and negotiating agreements related to complex M&A transactions.
  • Excellent organizational skills, attention to detail, and a proactive approach.
  • Strong academic background with superior drafting abilities.
  • Ability to work collaboratively in a team-oriented environment.
  • Admission to one or more state bars is required.

Education

  • A Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the bar in one or more U.S. states is required.
