Job Title: Corporate Associate Attorney

Duties:

  • Manage all aspects of complex corporate transactions, including mergers and acquisitions, joint ventures, divestitures, and corporate finance transactions.
  • Draft and review corporate documents such as purchase and sale agreements, operating agreements, service contracts, and corporate governance agreements.
  • Negotiate deal terms and oversee the closing processes of transactions.
  • Provide thorough legal research and analysis on a variety of corporate and compliance issues.
  • Advise clients on legal matters throughout the lifecycle of their business.
  • Engage in business development and client relationship building.

Requirements:

  • 5-8 years of experience practicing corporate transactional law.
  • Strong experience drafting and negotiating corporate agreements such as operating agreements, purchase agreements, service level contracts, and disclosure schedules.
  • Familiarity with corporate finance transactions, including secured and unsecured lending, loan and security agreements, and syndicated credit facilities.
  • Excellent analytical, communication, and interpersonal skills.
  • Ability to work both independently and as part of a team.
  • Licensed to practice in Illinois or Colorado, or eligibility for comity or waiver based on UBE scores, or willingness to sit for an upcoming bar exam in these states.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active Bar License in Illinois or Colorado (or eligibility for licensure).

Certifications:

  • Bar admission in Illinois or Colorado (or eligibility for transfer or upcoming bar exam).

Skills:

  • Strong drafting and negotiation skills.
  • Ability to manage and close transactions independently.
  • Confidence in client interactions and providing business-oriented legal advice.
  • Strong legal research and writing skills.
  • Ability to manage multiple projects simultaneously and work under tight deadlines.
