Job Overview:

A prestigious law firm is seeking a highly qualified mid- to senior-level Project Finance Attorney with significant experience in finance, mergers & acquisitions (M&A), and/or development of energy and infrastructure projects. This position offers the opportunity to join a growing, sponsor-side energy and infrastructure team. The ideal candidate will have transactional legal experience with large renewable, conventional power, and energy projects, and expertise in credit and security documentation, purchase and sale agreements, power purchase agreements (PPAs), and more.

Duties:

  • Provide legal expertise in the finance, M&A, and development of energy and infrastructure projects.
  • Handle large-scale renewable and conventional power and energy projects.
  • Draft and negotiate key documents including credit and security agreements, purchase and sale agreements, and power purchase agreements (PPAs).
  • Lead and manage the closing process for financings or acquisitions/dispositions in power, energy, and infrastructure sectors.
  • Negotiate and draft project contracts, particularly for power purchase agreements and related supply and offtake agreements.
  • Provide legal support across various energy and infrastructure sectors, including hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Work closely with clients to ensure compliance with applicable laws and regulations.
  • Contribute to a growing team with significant opportunities for advancement and leadership.

Requirements:

  • 3-6 years of experience in project finance, M&A, and/or development of energy and infrastructure projects.
  • Prior experience at a large national or international law firm.
  • Expertise in transactional work related to large renewable and conventional power projects.
  • Experience in credit and security documentation, purchase and sale agreements, and power purchase agreements (PPAs).
  • Strong experience in running closings for financings or acquisitions/dispositions in power, energy, and infrastructure.
  • Experience drafting and negotiating project contracts, particularly PPAs and related supply agreements.
  • Familiarity with industries beyond wind, solar, and natural gas projects, including hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Strong communication and negotiation skills, with the ability to work independently and within a team.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Bar admission in the jurisdiction of the office or eligibility to obtain admission promptly.

Skills:

  • In-depth knowledge of project finance, M&A, and energy and infrastructure law.
  • Strong drafting and negotiation skills, particularly in power purchase agreements and related contracts.
  • Ability to manage and close complex transactions.
  • Experience across various energy sectors, including renewables and emerging technologies.
  • Excellent written and verbal communication skills.
  • Ability to work effectively with clients and colleagues across different practice areas.
